Terms of Service

By creating an account or using Replai ("Service", "we", "us"), you agree to these Terms. If you disagree, do not use the Service. These Terms form a binding contract between you and Replai (joinreplai.com).

Replai is an AI-powered automation tool that reads comments from your YouTube channel and generates suggested or automatic replies using artificial intelligence. The Service operates via YouTube Data API v3 with your explicit OAuth authorization. You remain fully responsible for all content posted to your YouTube channel through Replai.

You must be at least 13 years old to use Replai. By using the Service, you confirm you have the legal authority to accept these Terms and to authorize access to any YouTube channels you connect.

• You are responsible for maintaining the security of your account credentials.
• You must notify us immediately at support@joinreplai.com of any unauthorized access.
• One account per person. You may not share, sell, or transfer your account.
• You may only connect YouTube channels you own or are authorized to manage.

You agree NOT to use Replai to:

• Post spam, unsolicited advertising, or repetitive content.
• Harass, threaten, defame, or abuse YouTube users.
• Post hateful, discriminatory, or illegal content.
• Impersonate individuals, brands, or organizations.
• Violate YouTube's Terms of Service or Community Guidelines.
• Manipulate engagement metrics (views, likes, comments) artificially.
• Attempt to reverse-engineer, scrape, or circumvent Replai's systems.
• Use the Service on YouTube channels you do not own or manage.
• Generate replies that violate any applicable laws.

We reserve the right to suspend accounts violating these rules immediately and without refund.

• Subscriptions are billed monthly in advance via Stripe.
• Reply counts reset on the 1st of each month.
• Unused replies do not roll over.
• We reserve the right to change pricing with 30 days notice to existing subscribers.
• Refunds: pro-rata refunds available within 7 days of a charge — contact support@joinreplai.com.
• Downgrades take effect at the end of the current billing period.

Our IP: Replai's software, design, trademarks, and brand are owned by us. You may not copy, reproduce, or create derivative works without written permission.

Your Content: You retain ownership of your YouTube channel content, comments, and any data you provide. By using Replai, you grant us a limited, non-exclusive license to access this content solely to provide the Service.

AI-Generated Replies: Replies generated by the AI are suggestions. You are responsible for reviewing and approving content before it is posted. We make no claim of authorship over AI-generated text.

Replai's use of YouTube data is governed by the YouTube API Services Terms of Service and Google Privacy Policy. You agree to comply with these terms. You can revoke Replai's YouTube access at any time via Google Account Permissions.

Replies are generated by artificial intelligence (DeepSeek AI) and may contain errors, inaccuracies, or inappropriate content. You are responsible for reviewing all suggestions before posting. We do not guarantee reply quality, tone accuracy, or YouTube deliverability.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Replai is provided "as is" without warranties of any kind.
• We are not liable for any indirect, incidental, special, or consequential damages.
• We are not liable for actions taken by YouTube regarding your channel (strikes, bans, demonetization).
• Our total liability to you shall not exceed the amount you paid us in the 3 months preceding the claim.
• We do not guarantee uninterrupted service or that AI replies will meet your expectations.

You agree to indemnify and hold harmless Replai, its officers, and employees from any claims, damages, or expenses (including legal fees) arising from: (a) your use of the Service, (b) content posted via Replai to YouTube, (c) your violation of these Terms, or (d) your violation of any third-party rights.

• You may cancel your account at any time from Settings.
• We may suspend or terminate accounts for Terms violations, with or without notice.
• Upon termination, your data is deleted within 30 days per our Privacy Policy.
• Sections 7, 10, 11, and 13 survive termination.

These Terms are governed by the laws of England and Wales. Any disputes shall be resolved in the courts of England and Wales. If you are an EU consumer, mandatory local consumer protection laws may apply.

We may update these Terms and will notify you by email at least 14 days before changes take effect. Continued use after the effective date constitutes acceptance.
